Laboratory Testing Services Terms and Conditions

Effective Date: June 9th, 2025

These Laboratory Testing Services Terms and Conditions govern chemical and microbiological testing and related laboratory services provided by Cora Science, LLC to the person or entity submitting samples or requesting services.

1. Acceptance; Binding Agreement; Scope

By submitting a sample, issuing or submitting a work order, requesting services, or authorizing the Laboratory to begin work, Client agrees to be bound by these Terms. Client represents that it has authority to bind the applicable entity.

2. Work Orders; Changes; Acceptance; Subcontracting

Client will submit a Work Order identifying samples, requested analyses, method or specification needs, turnaround, reporting requirements, and special instructions. The Laboratory may reject or place on hold incomplete, unsafe, nonconforming, or out-of-scope samples or Work Orders. Changes may affect price, schedule, and feasibility.

3. Accreditation; Standards; Records

The Laboratory operates as an ISO/IEC 17025:2017 accredited laboratory for activities within its accreditation scope. Not all services may be within scope. Records are retained consistent with the Laboratory quality system and applicable requirements.

4. Sample Submission; Condition; Retention; Disposal

Client is responsible for representative sampling, labeling, packaging, shipping, chain of custody, environmental conditions, and accurate sample information. Samples may be consumed during testing and retained or disposed of according to laboratory policy.

5. Reports; Use of Results; Retesting; Corrections

Reports apply only to the tested sample as received. Client is responsible for interpreting results, regulatory decisions, labeling, claims, filings, and communications. Reports may not be altered, and partial reproduction requires prior written consent unless required by law.

6. Pricing; Invoicing; Payment; Taxes

Client will pay fees according to the Pricing Schedule or other written pricing documentation. Payment is due within thirty days unless otherwise stated. Undisputed amounts remain payable during invoice disputes.

7. Confidentiality; Data Use

Each party will protect confidential information with reasonable care and use it only as necessary to perform or receive services. The Laboratory may use records and data as required for its quality system, accreditation, audits, validation, verification, and internal quality control.

8. Intellectual Property; Ownership; License

The Laboratory retains its pre-existing and independently developed methods, processes, workflows, software, templates, know-how, and intellectual property. Client retains ownership of submitted samples and client-provided materials, subject to testing consumption and disposal.

9. Client Representations and Responsibilities

Client represents that submitted information is accurate, samples and shipments comply with law, Client has the right to submit samples, and Reports will not be misused or selectively excerpted in a misleading manner.

10. Limited Warranty; Disclaimers

The Laboratory will perform services in a professional and workmanlike manner consistent with its quality system and generally accepted laboratory practices. Except as expressly stated, the Laboratory makes no express or implied warranties.

11. Indemnification; Limitation of Liability

Client will defend and indemnify the Laboratory for third-party claims arising from sample hazards, shipment, misuse of reports, or Client breach. To the maximum extent permitted by law, the Laboratory's liability is limited to amounts paid for the specific services giving rise to the claim, and indirect or consequential damages are excluded.

12. General Terms

Neither party is liable for delays caused by events beyond reasonable control. Notices must be in writing. The Laboratory is an independent contractor. Client may not assign these Terms without prior written consent. Texas law governs, and exclusive venue lies in Travis County, Texas.
